The basis on which YK Marketing provides services.
Last updated: July 2026These Terms & Conditions apply to all services provided by YK Marketing, operated by Yulia Khlopunova, Sydney, NSW, Australia. By engaging YK Marketing's services, you agree to these terms. Please read them before proceeding.
YK Marketing is a sole trader marketing consultancy operated by Yulia Khlopunova, based in Sydney, New South Wales, Australia. Services include B2B marketing strategy, website conversion audits, Marketo and lifecycle marketing, GEO/AI visibility consulting, fractional CMO engagements, and related B2B marketing services.
All engagements begin with a written proposal or scope of work agreed upon by both parties before any paid work commences. The scope defines the deliverables, timeline, and commercial terms for that specific engagement.
Any work outside the agreed scope requires a separate written agreement. YK Marketing will not perform out-of-scope work without written confirmation from the client.
Fees are outlined in the proposal or scope of work for each engagement. Unless otherwise agreed in writing:
All fees are quoted in Australian dollars (AUD) and are exclusive of GST unless stated otherwise. Where GST applies, it will be added to invoices at the applicable rate.
Either party may terminate an ongoing engagement with 30 days' written notice. Where a fixed-term engagement is terminated early by the client, fees for work already completed or committed are payable in full.
YK Marketing reserves the right to terminate an engagement immediately if a client acts in a manner that is unlawful, abusive, or materially inconsistent with the agreed scope.
Strategy sessions and one-off deliverables that have been scheduled and confirmed are non-refundable if cancelled within 48 hours of the scheduled session time.
Upon receipt of full payment, the client owns all deliverables created specifically for their engagement — including written content, strategy documents, and campaign materials.
YK Marketing retains ownership of proprietary frameworks, methodologies, templates, and tools used in the delivery of services. These are licensed to the client for use within the engagement but are not transferred.
The client grants YK Marketing a non-exclusive licence to use the client's brand assets (logo, imagery, copy) solely for the purpose of delivering the agreed services.
Both parties agree to keep confidential any sensitive business information shared during the engagement. YK Marketing will not disclose client information to third parties except where required by law or with the client's written consent.
Aggregated, anonymised insights drawn from client work may be referenced in general marketing content (e.g. "a B2B client saw X improvement") without identifying the client, unless the client objects in writing.
YK Marketing warrants that services will be performed with reasonable skill, care, and diligence consistent with industry standards.
YK Marketing does not guarantee specific outcomes including but not limited to: a specified number of leads, enquiries, rankings, or revenue. Marketing results depend on factors outside YK Marketing's control including market conditions, client responsiveness, and third-party platform changes.
The client warrants that all information provided to YK Marketing is accurate and that they have the legal right to use any assets (images, copy, data) provided for use in the engagement.
To the maximum extent permitted by Australian law, YK Marketing's total liability to the client for any claim arising from an engagement is limited to the total fees paid for that engagement in the 3 months preceding the claim.
YK Marketing is not liable for indirect, consequential, or incidental damages including loss of profit, loss of data, or business interruption, even if YK Marketing has been advised of the possibility of such damages.
Nothing in these terms limits liability for fraud, death, or personal injury caused by negligence, or any liability that cannot be limited under Australian consumer law.
Nothing in these Terms & Conditions excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term or condition, implied or imposed by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded or limited.
Some services involve the use of third-party platforms (including but not limited to Marketo, HubSpot, Google Analytics, Formspree, and social media platforms). YK Marketing is not responsible for changes, outages, or policy updates made by third-party platforms that affect the delivery or outcomes of agreed services.
Where third-party platform costs are incurred on the client's behalf, these will be disclosed in advance and charged at cost.
These Terms & Conditions are governed by the laws of New South Wales, Australia. Any dispute arising from these terms or from a service engagement will be subject to the exclusive jurisdiction of the courts of New South Wales.
YK Marketing may update these Terms & Conditions from time to time. The current version will always be published at ykmarketing.com.au/terms-and-conditions. Continued engagement with YK Marketing after updated terms are published constitutes acceptance of the revised terms.
